We routinely advise companies on day-to-day internal governance issues, shareholder relations and compliance with the full range of laws, rules and regulations covering corporate governance, finance and fiduciary duty matters, including the Securities Act of 1933 and the Securities Exchange Act of 1934. From drafting state-of-the-art charters, alerting clients on changes to the law or best practices to advising regarding potential takeovers, conducting corporate governance audits, investigations and other sensitive matters, our attorneys strive to provide practical legal advice to company boards, committees and in-house counsel.

Drohan Lee has extensive experience in the employment field, and regularly counsels our clients with respect to employment issues. We advise our clients on all facets of employer-employee relations, including pre-employment issues, negotiating of employment and executive compensation agreements, non-solicitation/non-competition agreements (and related contractual issues), the application of discrimination laws, harassment complaints, the scope and enforcement of restrictive covenants, the employee’s duty of loyalty, whistleblower claims, equal employment opportunity matters (EEOC), staff reductions, employment terminations and compensation matters. We develop employee handbooks, manuals and other employment policies and procedures.
